Shaare Terms of Service governs your use of all of Shaare Technologies LLC's Brands, Products and Services, collectively called "Shaare Services" or the "Services", and all Digital Content including information, text, links, graphics, photos, audio, videos, etc uploaded, downloaded or appearing on Shaare Services. By signing up for any of Shaare Services you are agreeing to be bound by the following terms and conditions ("Terms of Service"). Any new features or tools which are added to the current Services shall be also subject to these Terms of Service.
Shaare gives you a personal, worldwide, royalty-free, nonassignable and non-exclusive license to use Shaare Services. You must read, agree with and accept all of the terms and conditions contained in this Terms of Service agreement, including Shaare Services Privacy Policy before you become a Shaare user. Shaare Services are available for your use only if you are at least 13 years old and you are not a person barred from receiving services under the laws of the applicable jurisdiction.
To access and use the Services, you must register for a Shaare account ("Account") by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Shaare may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion.
Piing is a product of Shaare Technologies LLC. Piing provides location sharing and tracking for people, pets, and vehicles, including cellular-connected trackers ("Devices") that contain an embedded SIM card. The following terms apply specifically to your use of Piing in addition to the general terms above.
Piing is intended for tracking people, pets, and vehicles that you own or are authorized to track. You represent that you have the legal right, and where the tracked subject is a person, the explicit consent of that person, to track their location using Piing. You agree not to use Piing to track any person without their knowledge or consent where such consent is required by applicable law. You are solely responsible for your compliance with all applicable tracking, surveillance, and privacy laws.
Certain Piing Devices (such as vehicle trackers) contain a cellular SIM card that Shaare activates and manages on your behalf, and may support optional remote commands you initiate from the app (for example, remotely disabling or re-enabling a vehicle's relay/immobilizer). Remote commands are sent to the Device by SMS text message, and may be charged a separate fee at the time you initiate the command, as disclosed in the app. Fees for remote commands are charged when the command is submitted and are non-refundable except as required by applicable law, regardless of whether the Device acknowledges or carries out the command. Remote commands depend on cellular network availability and are not guaranteed to be delivered or executed instantly, or at all.
Remote commands you initiate from the app (such as a relay/immobilizer command) are delivered to a Device over its own embedded cellular SIM card via SMS, and the Device may reply over SMS to confirm or report the result of the command. This SMS exchange is machine-to-machine, between Shaare's systems and the Device's SIM — it is not sent to, or received on, your personal mobile phone number. Your personal phone number is used only for account verification and account-related notifications, and is not used to send or receive Device commands. Message frequency for Device commands depends on how often you use Piing's remote command features, and is billed as disclosed in the app rather than through your personal carrier plan.
Piing subscriptions and one-time fees (including remote command fees) are billed through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You are responsible for all charges incurred under your Account.
You agree that when using Shaare Services that Shaare and its third-party providers and partners may place advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others. You must comply with all Applicable Laws and these Terms. In particular, but without limitation, you agree not to:
(a) Use the Services in any unlawful manner or in a manner which promotes or encourages illegal activity including (without limitation) copyright infringement; or
(b) post or transmit any pornographic material and/or objectionable content; or
(c) Solicit login information or access an account belonging to someone else; or
(d) Attempt to gain unauthorized access to the Services or any networks, servers or computer systems connected to the Services, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.; or
(e) Modify, adapt, translate or reverse engineer any part of the Services or re-format or frame any portion of the pages comprising the Services, save to the extent expressly permitted by these Terms or by law; or
(f) Reproduce, duplicate, copy, sell, resell or exploit any portion of the Service;
All Users must 18 years or older to register a Business for use of a Shaare Account. Persons below the age of 18 years are prohibited from registering a Business for the use of a Shaare Account, but they can be represented by a person who is 18 years old or older who will be responsible for the Account. Shaare may use the email address you provide as the primary method for communication. You are responsible for keeping your password secure. Shaare cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password. If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent, you must be authorized to do so.
Shaare respects the intellectual property rights of others and expects users of the Services to do the same. Content alleged to be infringing on another party's intellectual rights may be investigated with or without your participation and may be removed without prior notice.
Share is an advocate of child safety and child safety laws and regulations and prohibits the use of its Services for Child Sexual Abuse and Exploitation (CSAE). Our Services allows for the reporting and removal of CSAE content by Users on our Services. Shaare will immediately remove from our Services all and any CSAE content identified or reported by Users. CSAE content uploaded, shared and/or used on our Services can be reported to local and international law enforcement and child protection agencies.
Users have the option to use special Shaare Technologies LLC Services anonymously. Where such services are used, Users are required to be over the age of 17 years. Abusive or objectionable content / communication will not be tolerated and may result in a deactivation of your anonymous account. (Shaare is not to be held accountable for any abusive or objectionable content or communication.)
TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, Shaare PROVIDES THE SERVICES "AS-IS" AND AS TO YOU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NONINFRINGEMENT. Shaare DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICES. Shaare MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, FREE OF VIRUSES OR OTHER HARMFUL CODE, TIMELY, SECURE, OR ERROR-FREE.
TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, (A) Shaare WILL NOT BE LIABLE TO YOU FOR ANY LOSS OF USE, LOST DATA, LOST PROFITS OR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES RELATING TO THE USE OR INABILITY OF THE USE OF THE SERVICES, EVEN IF Shaare HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (B) Shaare'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE SOFTWARE AND THIS EULA, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL AT ALL TIMES BE LIMITED TO FIFTY U.S. DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
You may terminate your Account with Shaare at any time by deactivating your Account. Upon termination of the Services, the license granted hereunder will also be terminated. Shaare can stop providing all or part of the Services to you if you violate these Terms and any other Shaare Policies, or otherwise create risk or possible legal exposure for Shaare. We will notify you by email or at the next time you attempt to access your account.
This Terms of Service may be updated periodically to implement changes to our privacy practices or for other operational, legal, or regulatory purposes. If we modify these Terms, we will inform you of such changes by posting the revised Terms on Shaare Services, and where these Terms are posted when using our other product and services. By continuing to access or use Shaare Services, you agree to abide by the revised Terms.
